1. Acceptance of Terms

By accessing or using Kortex ("Service"), operated by Kortex Solutions LLC ("Company," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Kortex is a marketing intelligence platform that connects to your Google Ads account, Google Business Profile, and website to provide analytics, recommendations, and automated optimizations. By using our Service, you expressly authorize us to:

Access and read data from your connected advertising accounts
Make modifications to your advertising campaigns, including but not limited to: pausing keywords, adjusting bids, adding negative keywords, and modifying campaign settings
Store snapshots and backups of your account configurations
Analyze your data using artificial intelligence and machine learning systems

3. Authorization to Modify Accounts

YOU EXPRESSLY AUTHORIZE Kortex TO MAKE CHANGES TO YOUR CONNECTED ADVERTISING ACCOUNTS. This includes automated changes made by our AI systems without prior individual approval for each change. You understand that:

Changes may affect your advertising spend, campaign performance, and business results
While we aim to improve performance, results are not guaranteed
You retain the ability to manually override or reverse any changes at any time
You should regularly monitor your accounts and review changes made

4. No Guarantee of Results

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. We do not guarantee any specific results, including but not limited to:

Increased leads, conversions, or revenue
Decreased cost per acquisition or advertising spend
Improved return on ad spend (ROAS)
Any particular business outcome

Advertising performance depends on numerous factors outside our control, including market conditions, competition, your products/services, landing pages, and consumer behavior.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Kortex SOLUTIONS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Loss of profits, revenue, or business opportunities
Increased advertising costs or wasted ad spend
Loss of data or business interruption
Damages arising from changes made to your advertising accounts
Any other damages arising from your use of the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

6. Indemnification

You agree to indemnify, defend, and hold harmless Kortex Solutions LLC from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

Your use of the Service
Changes made to your advertising accounts through the Service
Your violation of these Terms
Your violation of any third-party rights

7. Account Snapshots and Data

Upon connecting your accounts, we create a snapshot of your current settings. This snapshot:

Is stored securely for backup and reference purposes
May be used to restore settings upon your request
Will be deleted within 30 days of account termination

9. Termination

Either party may terminate this agreement at any time. Upon termination:

Your access to the Service will be revoked
We will disconnect from your advertising accounts
Changes made during your subscription will remain in place unless you manually revert them
We are not obligated to restore your accounts to any prior state

10. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. Arbitration shall take place in Boise, Idaho. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION.

11. Governing Law

These Terms shall be governed by the laws of the State of Idaho, without regard to conflict of law principles.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms.
